Part of Post-formation changes: where your business details actually live
Business record changes worth tracking in 2027, and how to verify them
Changes worth tracking in business records for 2027, and how to check the current position yourself rather than trusting any page, this one included.
What to take away
- Business record changes worth tracking in 2027 include FinCEN's beneficial ownership rule, New York's LLC Transparency Act, and Delaware's SB 21 limits on books-and-records inspection.
- California's Statements of Information now have to be filed online, and Companies House in the UK is adding identity verification and software-only accounts filing.
- The one rule that survives every changeget the current position from the body that sets it, on the day you need it.
- Reporting obligations about who ultimately owns and controls a company have been genuinely unsettled. Treat anything you read about them, here included, as needing confirmation at the source.
- State offices have moved online, which speeds filings up and makes stale records easier to leave alone.
- The service industry around these processes grows every time a new obligation appears, and so do the solicitations.
- To verify any of itsearch your state registry, read FinCEN's beneficial ownership page and FAQs, check the New York Department of State for a New York LLC, and read GOV.UK for a UK entity.
Ownership and control reporting: FinCEN and New York
The most contested record change is beneficial ownership reporting. The Corporate Transparency Act requires disclosure of who ultimately owns or controls an entity, and its obligations have been introduced, litigated, paused, and revised. Categories of business were treated differently at different times.
FinCEN's interim final rule of March 21, 2025 exempted domestic reporting companies and U.S. persons from filing. Foreign reporting companies registered to do business in a state still report, generally within 30 days of registration. FinCEN said further rulemaking would follow.

No reporting obligation
New York's LLC Transparency Act took effect January 1, 2026. It requires LLCs formed or registered in the state to file beneficial ownership details with the Department of State unless an exemption applies. The Department of State posts the form and the current exemptions.
A post-formation checklist organized by event shows which records each ownership change quietly makes out of date. Go to the agency that administers the federal rule: FinCEN, whose beneficial ownership information material and frequently asked questions are the only current description by definition.
Ask your lawyer or accountant whether and how it applies to you. The categories are the part people get wrong. Two habits follow. Check it again when anything about your ownership changes, and be skeptical of anyone selling a filing service for it before you have read the source.
Filing offices online: Delaware, California and the UK register
The long-running direction is toward filing, searching and paying online, with faster acceptance and better public search. Delaware requires annual reports through its Division of Corporations online system. LLCs pay a flat $300 annual tax, due June 1. Corporations file by March 1.
As of 2026, the corporate franchise tax minimum is $175 under the authorized shares method and $400 under the assumed par value capital method. Check the Division of Corporations fee page before you pay, because the arithmetic method you pick drives the number.
California requires Statements of Information to be filed online through the Secretary of State's bizfile Online system. Business entity searches there, and in Delaware, are free.
In the UK, Companies House has required identity verification for new directors and people with significant control since November 18, 2025. Existing directors must verify at their next confirmation statement from November 18, 2026.
Companies House also plans to require accounts to be filed using software from April 1, 2027, with web and paper filing of accounts withdrawn. Read the register and the filing guidance on GOV.UK rather than a summary.
The useful consequence: you can read your own registry entry in a minute, and that makes the annual check trivial. To find and read your own office's material, see working with the filing office.
The awkward consequence: faster filing does not make a stale record more likely to be noticed. Easier filing has not made anyone better at maintenance.
Remote work and where a business operates
The steady change here is that businesses acquire people in other states without experiencing it as expansion. Each state decides for itself what counts as doing business inside it, and none of them adjusted that question for how work is now distributed.
This is not a trend with an endpoint. It is a standing reason to ask, whenever you hire outside your own state, what that state's own view is.
Most states expect a withholding account and an unemployment insurance account once you pay wages there. Each account has its own registration, its own deadline and its own record to keep current.
The federal side of the employment question starts at the IRS's overview of employment taxes, and the state side belongs to the state.
The service industry around all of it
Every new obligation produces a new set of services, and a new set of official-looking solicitations. The pattern is old and reliable: a letter that resembles correspondence from an office, referring to a real obligation, asking for payment for something either unnecessary or available directly. The FTC's government imposter guidance describes the same move.
Spotting a solicitation
- Letter resembles official correspondence
- Refers to a real obligation
- Asks payment for unnecessary service
- Verify sender on office site
- Call number from office site
The defense has not changed either. Verify the sender against the office's own site, and call the number on the office's site rather than the one on the letter.
The same reasoning applies to anything sold around the federal identifier. The IRS issues that number at no charge, and nobody else issues it at all, as set out in the identifier explained.
For a nonprofit, the IRS's Tax Exempt Organization Search shows exempt status and filed Form 990 returns at no cost. That is the record a grantmaker will check.
What has not changed, and the one record rule that did
The things that decide whether an entity works are unchanged. That means a governing document that describes your actual business, records that agree with each other, and an address where post is read.
One record rule did move. Delaware's SB 21, signed March 25, 2025, amended Section 220 to require a stockholder to state a proper purpose and to describe the records sought with reasonable particularity before an inspection. Read the Delaware Code for the text.
A reachable contact for legal papers is described in the agent explained. You make a legal form decision with people who know your facts, from the comparison in choosing a form.
None of that is affected by the movements above, and it is where the return on your attention is highest.
Common questions
Why do these items still need checking at the source?
Because they change, and a wrong requirement is worse than none. Every section names the office that holds the current answer, and each office posts its own forms and rules.
How often should I check the ownership reporting position?
Whenever your ownership or control changes, and at your annual review. Between those, the source is one page and takes a minute.
Is there anything genuinely new I should act on today?
Reading your own registry entry, which is now easy and which most owners have never done. Everything else on this page is a reason to check a source rather than an action.
Should I pay someone to monitor changes for me?
An accountant or lawyer already watching your file is worth more than a monitoring product, because they know which categories you fall into. That is the part that gets people wrong, not the awareness.
What will still be true in five years?
That no authority tells any other authority anything, and that a business is responsible for keeping each record true on its own. Every practical habit on this site follows from that.
